ich bereite die Gründung der Noble Financial Advisory Group AG mit künftigem Sitz im Kanton Zug vor und benötige eine unabhängige Schweizer Escrow-/Treuhandlösung für institutionelle Investorenzusagen.

Geplant sind ausschließlich professionelle oder institutionelle Investoren, keine öffentliche Zeichnung, keine Retail-Investoren, keine Token-Ausgabe, keine kollektive Kapitalanlage und keine Vermögensverwaltung für Dritte. Vor Closing soll keine freie Verfügung über Investorengelder bestehen.

Vorgesehene Freigabebedingungen sind:

  1. Eintragung der AG und Wirksamkeit gegenüber Dritten;
  2. Eröffnung des Schweizer Geschäftskontos;

Bei Nichterfüllung bis zum Long-Stop-Date soll die Rückzahlung gemäß Escrow-Vertrag erfolgen, ohne Rendite-, Zins- oder Gewinnversprechen.

4. Closing Checklist

  1. London registered-office authority, company name, directors, shareholders, PSC information, memorandum, articles and statement of capital are complete.
  2. The UK incorporation particulars are verified against Companies House and the Revolut Business relationship remains subject to ongoing eligibility and compliance review.
  3. Swiss counsel confirms entity, placement, prospectus, licensing, AML and tax perimeter.
  4. Name, registered office, articles, founder, board and Swiss-resident representation are finalized.
  5. Capital contribution account is opened for statutory share capital.
  6. Independent escrow provider completes its own onboarding and approves the agreement.
  7. Investor qualification, beneficial ownership, sanctions, source of funds and proof of funds are complete.
  8. NDA, term sheet, subscription or convertible agreement and escrow agreement are executed.
  9. AG is notarized, filed, published and verified in official records.
  10. Swiss operating bank account is opened.
  11. Board ratifies the financing and permitted use of proceeds.
  12. Escrow agent releases or refunds strictly under the signed agreement.
